These Terms describe the terms under which ZapScale Inc. provides access to and use of its services. By accessing or using the services, you agree to these Terms and confirm that you are authorized to enter into this agreement.
Your rights
Subject to compliance with these Terms and during the applicable subscription term, you receive a limited, non-exclusive, revocable right to access and use the services for internal business purposes.
Your obligations
- You are responsible for maintaining the confidentiality of account credentials.
- You may not resell, lease, modify, reverse engineer, disrupt, or misuse the services.
- You must not upload unlawful, infringing, abusive, malicious, or harmful content.
- You represent that you have the rights needed to provide customer data to ZapScale.
Services
We may update, modify, suspend, or discontinue parts of the services. Trial access, if provided, may be ended by ZapScale at any time. Scheduled maintenance or events beyond reasonable control may affect availability.
Intellectual property
ZapScale retains all rights, title, and interest in the services, software, trademarks, domain names, inventions, know-how, and related intellectual property. You retain rights in customer data you provide.
Third-party services
Integrations and third-party services are governed by their own terms and privacy policies. ZapScale is not responsible for third-party services or their processing of data.
Charges and payment
Subscription charges are due as stated in the applicable order form or commercial agreement. Unless otherwise stated, fees are non-refundable and exclusive of taxes.
Termination
Either party may terminate as permitted by the applicable agreement. ZapScale may suspend or terminate access for breach, non-payment, misuse, legal risk, or business reasons including discontinuation of services.
Confidentiality and data protection
Each party will protect the other party’s confidential information using reasonable care. ZapScale may process customer data to provide, maintain, secure, support, and improve the services in accordance with the Privacy Policy.
Disclaimer and limitation of liability
The services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. To the maximum extent permitted by law, ZapScale will not be liable for indirect, incidental, special, punitive, cover, or consequential damages.
